David L. Klatsky is a partner in the law firm of McDermott Will & Emery LLP based in the Los Angeles office. As a member of the Firm’s Health Law Department, his practice focuses on the transactional and regulatory aspects of mergers, acquisitions and joint ventures involving hospitals and health systems, group purchasing organizations, health plans, ambulatory surgery centers, medical groups and other health care providers. David is the past co-chair of McDermott’s health care mergers and acquisitions practice group.
David has acted as the lead lawyer in a broad cross-section of health industry transactions, from multi-billion dollar joint ventures to small start-up projects. Transactions that David has been involved in include:
Serving as regulatory counsel in connection with several public company takeover transactions
Structuring many of the most significant joint venture transactions in recent years in the health care group purchasing sector
Negotiating 15 separate transactions involving the acquisition or divestiture of health systems or hospitals, with transaction values ranging from $300 million to $15 million
Counseling numerous health care start-up providers, including ambulatory surgery centers, imaging facilities, radiation therapy providers, cancer centers, home care companies and IPAs
Acting as transactional counsel in connection with the purchase and sale of several health plans, including the sale of assets out of bankruptcy
David has served as borrower’s or underwriter’s counsel in connection with numerous hospital financings. In recent years, he has also collaborated in the development and implementation of participating bond transactions (PBTs) as an innovative means of aligning incentives between hospitals and physicians. David is a frequent speaker on the subject of PBTs and health care transactional techniques.
Clients that David has represented include The Blackstone Group, The Carlyle Group, Tenet Healthcare Corporation, Health Net, DaVita, Premier, Blue Shield of California, Maxicare, UHP Healthcare, Adventist Health System and numerous non-profit organizations.
David is a member of the State Bar of California. He is also admitted to practice before the U.S. District Court for the Central District of California and the U.S. Court of Appeals for the Ninth Circuit.
