Dan Katcher develops and implements targeted communications strategies for clients involved in corporate transactions and special situations. These include friendly mergers and acquisitions, unsolicited takeovers and proxy contests. In addition, he works with clients across a broad range of industries to develop and implement ongoing investor and media relations programs.
A founding partner of Joele Frank, Wilkinson Brimmer Katcher, Mr. Katcher has recently advised a number of companies involved in M&A transactions, including, among others: MetroPCS Communications in its proposal to acquire Leap Wireless; Apollo Group in its acquisition of Harrah’s Entertainment; Phelps Dodge in its acquisition by Freeport-McMoran Copper & Gold; Weyerhaeuser in the merger of its fine paper business with Domtar; CommScope in its acquisition of Andrew; Triad Hospitals in its acquisition by Community Health Systems; and Jerry Moyes in his acquisition of Swift Transportation.
In addition, he also advised the Chandler Trusts in connection with its investment in The Tribune Company; Engelhard in its defense against BASF; Penn National Gaming in its acquisition of Argosy Gaming; Mandalay Bay in its merger with MGM Mirage; Weyerhaeuser in its acquisition of Willamette; the William R. Hewlett Trust in its opposition to the proposed H-P/Compaq merger; Ranger Governance in its proxy contest against Computer Associates; Ralston Purina in its merger with Nestlé; and Unilever in its acquisition of Bestfoods.
Previously, he was a Managing Director at Abernathy MacGregor Frank where he advised Energy East in its acquisitions of Connecticut Energy, CMP Group and CTG Resources; AMP in its defense of AlliedSignal’s hostile takeover attempt and its subsequent merger with Tyco; Key Energy and Nabors Industries in their successful unsolicited acquisitions in the energy industry; Hilton Hotels in its bid to acquire ITT; and Pennzoil in its defense from a hostile takeover attempt by Union Pacific Resources.
Mr. Katcher began his career as a practicing attorney and was an associate at Hoffman & Pollok, a law firm specializing in complex criminal and civil litigation. He received his law degree from the Benjamin N. Cardozo School of Law, where he was an editor of the Cardozo Law Review. Mr. Katcher received his B.A. in sociology from New York University. |
