Counsel to numerous clients on Intellectual Property related business transactions including non-disclosure, cooperation, joint development, research, joint venture, licensing, acquisition, and divestiture agreements. Counsel to clients on pre-litigation issues including indemnification, clearance reviews and design-around studies. US Patent prosecution including drafting and prosecuting patent applications before the U.S. Patent and Trademark Office in the mechanical, electromechanical, materials, robotics and food related arts for various automotive, material handling, robotics and food manufacturers. Revised and standardized a major telecommunications provider's standard customer agreements, with a total document count exceeding 100. Drafting and negotiating a wide variety of contracts and licenses regarding design, development, maintenance, sale, warranty, and related matters associated with automotive vehicles, system and components at all levels; food products and processes; and software. Counsel to a graphic artist for all legal and business aspects from the initial design to placement of products with a major national retailer. OEM, tier one/lower tier purchase order/supply agreement terms and conditions, nondisclosure-nonanalysis agreements, product/technology development agreements and related matters.
