Clare Sellars is counsel in the law firm of McDermott Will & Emery UK LLP, based in its London office. She is a member of the Intellectual Property, Media & Technology Department, where her practice focuses on a broad range of IP, IT, e-commerce, commercial, entertainment, healthcare and data protection and privacy related matters.
Clare acts for a wide variety of companies and organisations, ranging from banks and financial institutions, to defence industry based companies, various technology companies, music rights management companies, software development companies, food and beverage companies, owners of historical artefacts, healthcare providers and pharmaceutical companies.
Representative Experience
Regularly advises on the IP and IT aspects of various corporate and commercial transactions, e.g. share sale and asset sale acquisitions and disposals and joint ventures, including advice in respect of all relevant intellectual property, IT and data protection related documents and agreements.
Regularly advises on preparation and negotiation of various intellectual property rights assignment agreements and licence agreements. Clare also provides general name protection related advice, including in relation to trade marks, co-existence issues and internet domain names and has been involved in various trade mark related litigation and arbitration matters.
Regularly advises on software development and licensing agreements, copyright licensing agreements, outsourcing agreements, IT services agreements, web-site related issues (including web-site terms and conditions, on-line contracting and disclaimers) and implementation and distribution services agreements.
Regularly advises on various data protection, privacy, Freedom of Information Act 2000 and confidential information related matters.
Advises on various commercial matters including the preparation and negotiation of manufacturing and licence agreements, franchise agreements, agency agreements and distribution agreements.
Advises on various healthcare procurement related matters including advising on invitations to tender and bid documentation and negotiating framework agreements, call-off contracts, stand alone services agreements and related software license agreements between the providers of healthcare products and services and healthcare providers, including many different NHS entities within the UK.
