Chris is a partner in the Executive Compensation/Employee Benefits practice group. His practice concentrates on executive compensation matters, including compliance with golden parachute payment rules (Section 280G), Section 162(m) deduction limitations and Section 409A deferred compensation requirements. Chris regularly advises clients regarding equity compensation, including options (stock/units), restricted stock and units, and phantom stock and units. Chris is actively involved in structuring plans, contracts and agreements to comply with Section 409A. Chris also advises on all aspects of qualified retirement plans, including fiduciary and tax-qualification requirements. He also advises clients with respect to structuring investment vehicles (such as partnerships) applicable to pension fund investors regarding compliance with the ERISA plan asset rules. Chris also negotiates employee benefit matters in corporate transactions (spin-offs, mergers, asset deals and loans). Chris’ clients include both publicly traded entities as well as privately-held companies, partnerships, MLP’s and plan investment committees. |
