Mr. Rupright joined the firm in 1991 and became a partner in 1998.
He specializes in general business and securities transactions, with an emphasis on representing investment advisers in the formation, structuring, merger and acquisition of advisory firms, the formation of domestic and offshore investment funds and the regulatory issues governing advisers under federal and state securities laws. He also counsels investment advisory firms in general business matters they encounter, including marketing arrangements, employee ownership and compensation, institutional and retail advisory client agreements and policies and procedures.
His clients include federal and state registered investment advisory firms, hedge fund managers, accounting firms with affiliated investment advisory firms and venture capital firms that also invest in the public markets.
PROFESSIONAL ACTIVITIES
He is a frequent speaker on investment advisory and private investment fund legal issues, and a frequent contributor to investment advisory publications. He co-founded the industry group, Bay Area Hedge Fund Professionals, and provides continuing education seminars to brokerage and accounting firms regarding investment advisory and fund issues.
EDUCATION
Mr. Rupright received an A.B. degree in Economics from the University of Chicago in 1986, and graduated cum laude from Northwestern School of Law in 1991, where he was a member of the Order of the Coif |
