Mr. Carolan has extensive experience representing institutional lenders, administrative agents, arrangers and borrowers in a variety of domestic and international syndicated and unsyndicated financings. His practice generally focuses on asset-backed facilities, acquisition facilities, mezzanine and first and second lien facilities, letter of credit facilities, and other senior secured and unsecured transactions. These financings are frequently secured by diverse and complex collateral, including accounts receivable, inventory, other personal property interests and real estate. He also has considerable experience with negotiating participation agreements between institutional lenders and accounts receivable purchase agreements.
As part of the firm's Structured Resolution Group, Mr. Carolan helps to analyze the issues surrounding the subprime market collapse in an effort to help clients identify and execute on arbitrage and repackaging strategies.
Prior to joining the firm, Mr. Carolan was an associate general counsel for a large, international European-based bank and an associate in the finance and real estate department of a large international law firm’s New York office.
Representative Matters
Borrower's counsel in a €230 million multi-currency, syndicated, acquisition finance multi-term loan and revolver facility to support a European-based multinational business software firm's proposed strategic acquisition of a UK-based multinational peer firm.
Lender's counsel in a Canadian Dollar secured revolving facility, including negotiation of an intercreditor relationship with an existing term loan lender, to one of Canada's largest chocolate retailers.
Lender's counsel in a series of secured and unsecured term loan facilities to finance various microfinance lenders' operations in a number of jurisdictions, including Russia, China, Argentina, and Kazakhstan.
Served as Lender's counsel in syndicated and non-syndicated, secured and unsecured, committed and uncommitted revolver, term loan, and letter of credit facilities across all industries, particularly to commodity producers, traders, merchants, and suppliers in the United States, Canada, and throughout Latin America, particularly in the oil, gas, and grain sectors.
Served as Lender's and Borrower's counsel in a wide variety of real estate finance transactions in multiple jurisdictions, including acquisition and construction facilities, for large money center banks, developers, and builders.
