Christine (Chris) M. Marx is an acknowledged leader, skilled negotiator and highly regarded professional in corporate and securities law. Her background in corporate law, experience with the SEC and partnerships at leading law firms provide valuable insights and expertise for The St. Joe Company and its subsidiaries.
In March 2003, she left her position as Partner in the Corporate Department and Chairperson of the Securities Law practice group with Duane Morris LLP to join JOE. That Philadelphia-based firm of more than 500 attorneys in 19 offices had recruited Marx in May 2000 to build and lead a nationwide securities practice. She and her team of 35 active attorneys worked in SEC and NYSE filings and regulatory issues, corporate governance, venture capital financings, transactional matters and general corporate advice. In addition to building and managing her practice area, she represented multiple publicly-traded clients on a wide variety of securities, governance and general corporate issues and transactions. She also developed a firm-wide associate training program for the corporate department.
In her first job, at New York’s Sullivan & Cromwell, Marx handled a variety of securities transactions, affording her direct experience with public offerings, SEC filings, mergers, private placements, contracts, and general corporate law. It was here that she started building her reputation as a perceptive dealmaker.
In January 1982, Marx was recruited by the General Counsel of Anglo Energy Limited, an AMEX-traded oil and gas services company. There she handled all aspects of corporate legal and management functions, including contract negotiations, private placements, lease financings, joint ventures and sales of subsidiaries. She had primary responsibility for all SEC matters and had the opportunity to handle many of the deals associated with multiple divestitures, enhancing her reputation for making things happen.
In 1983 she joined the regional law firm Edwards & Angell, LLP. In less than two years, Marx was named a partner in the firm, and by her seventh year was chairperson of the firm-wide securities law practice group. In 1994, she was named partner-in-charge of the firm’s Short Hills, New Jersey office, where she handled all aspects of practice management, recruiting and business development. Under her direction, the office grew to 22 attorneys.
Marx earned a Bachelor’s degree, graduating magna cum laude, in accounting from the University of Dayton, where she was ranked first in her class in the School of Business. Her law degree is from the Columbia University School of Law, where she was a Harlan Fiske Stone Scholar.
Marx, her husband and their daughter reside in Ponte Vedra Beach, Florida.
