Charles Schelberg represents clients in a wide range of industries in corporate and business matters of many kinds. Mr. Schelberg’s practice is concentrated in the representation of regional and international clients in complex business transactions such as mergers and acquisitions, financings and joint ventures. In addition, as outside general counsel he advises clients on a wide array of issues, including contract matters, commercial disputes, corporate governance, business entity formation and regulatory and real estate issues. Among the many transactions in which he recently has been involved, Mr. Schelberg has acted as counsel in the sale of affiliated companies in the rail transportation equipment leasing industry to a foreign acquiror, the acquisition of U.S. companies on behalf of a diversified marine engineering and consulting firm headquartered in the United Kingdom, the leveraged recapitalization of a public company with diversified businesses in the engineering and energy sectors, the management buy-out of a large office furniture distributor and the sale of a privately held company providing education and child welfare services to governmental agencies. Mr. Schelberg has represented clients in the retirement community and nursing home industries. He is general counsel to Ginger Cove, a large continuing care retirement community located in Annapolis, Maryland. Mr. Schelberg has served as co-chair of the firm’s Business Department and co-chair of its Corporate Practice Group. He joined Miles & Stockbridge in 1978.
