AREAS OF PRACTICE Corporate Transactions Real Estate Tax Energy Charles has a broad based corporate practice principally focused on domestic and international business transactions. Charles’ corporate experience includes stock and asset purchases and sales, structuring and formation of new start-up corporations, limited liability companies, and limited partnerships in a variety of industries. His securities’ experience includes advising and assisting companies in connection with private placements of equity, venture capital investments and Rule 144k transfers. In addition, he has extensive experience representing lenders and borrowers in all types of financings including representation of owners and investors in all types of real estate transactions. REPRESENTATIVE EXPERIENCE Represented an Austrian entity in the sale of its U.S. chemical trading subsidiary to a Japanese corporation. Represented majority shareholder of project company in the developing and financing of one of the largest dog kennels in Houston . Represented foreign lenders and domestic borrowers in all types of commercial lending and finance matters, including mortgage loans secured by commercial real estate. Represented a U.S. developer in connection with the proposed development of LNG project in Port Lavaca, Texas. Represented a U.S. developer in connection with the proposed development of syngas project in Port Arthur, Texas. Represented numerous start-up companies, private equity investors and developers in a variety of industries including software, oil and gas, healthcare, and real estate.
