Caroline is an associate in the business law department and focuses her practice on employee benefits. She has experience in complex corporate tax, employee benefits and executive compensation issues, with an emphasis on issues related to corporate mergers and acquisitions and capital markets transactions. She advises publicly and privately held companies with respect to the design and administration of qualified and non-qualified retirement plans and welfare benefit programs. She also has experience representing companies, management teams and executives in the negotiation and drafting of employment agreements and incentive, change in control and severance arrangements.

Represented a privately-held company in its $1.8 billion acquisition by a publicly traded company in connection with all tax, employee benefit and executive compensation issues.
Advised financial services client with respect to ERISA and other benefits-related issues in indentures, credit agreements, private placement memoranda and offering documents.
Designed and advised on equity-based compensation plans and deferred compensation arrangements for a privately held company in anticipation of an IPO.
Counseled client with respect to the interpretation, amendment and administration of qualified retirement plans.
Represented large private equity fund in connection with employee benefits issues that arise in acquisitive transactions, including benefits transition issues and executive incentive arrangements.
