Ms. Hoffman is an associate in the Business and Finance Department of Taft Stettinius & Hollister LLP. Ms. Hoffman received her undergraduate degree in political science from Xavier University, where she graduated cum laude. She earned her law degree from the University of Cincinnati College of Law and was a Law Review associate member. She has served as company counsel in initial public offerings of equity securities and in merger and acquisition transactions. Ms. Hoffman’s work includes assistance with clients’ preparation of proxy statements and periodic reports under the Securities Exchange Act of 1934; advice concerning disclosure, corporate governance, Sections 13 and 16 and insider trading matters; and broker-deal regulation. She also assists private company clients in general corporate matters, including private placements of securities, credit facilities and venture capital transactions. Ms. Hoffman also is a member of the Professional Women's Resource Group (PWRG) of Taft Stettinius & Hollister LLP. She was listed by Cincinnati Magazine as a Super Lawyers Rising Star in 2005 and 2006. |
