Mr. Gallogly focuses his practice on public and structured finance transactions. He has represented various issuers and underwriters in public and private tax-exempt and taxable debt financings, including the securitization of new asset classes. He recently served as counsel in several transactions in which legal fee awards payable to certain law firms were securitized. He also has served as issuer’s counsel to finance the privatization of several military housing projects located on Air Force, Army and Navy bases.
As part of the firm's Structured Resolution Group, Mr. Gallogly helps to analyze the issues surrounding the subprime market collapse in an effort to help clients identify and execute on arbitrage and repackaging strategies.
Mr. Gallogly previously served as Director of Policy for Rhode Island Governor Bruce Sundlun, for which he oversaw the establishment of the Rhode Island Airport Corporation and the creation of Rite Care, a statewide managed care health program for women and young children.
Recent Matters
Program Advisor or Issuer’s Counsel for a series of securitizations aggregating approximately $760 million of legal fees settling the multi-state litigation against the tobacco industry. The first such securitization was named the U.S. Asset-Backed Securities Deal of the Year by the International Securitisation Report.
Issuer’s Counsel to private developer in connection with issuance of more than $700 million in taxable bonds for privatization of military housing located at several Air Force, Army and Navy bases. Closed the first rated bond issue involving an Air Force base without the use of a monoline financial guaranty.
Issuer's Counsel on the securitization of payments-in-lieu-of-taxes for the Providence Place Mall.
Served as either Underwriter's Counsel or Issuer's Counsel for several letter of credit financing and refinancing transactions, as well as several single- and multi-family housing bonds transactions.
Disclosure Counsel to the Rhode Island Economic Development Corporation for the issuance of grant anticipation bonds and motor fuel tax revenue bonds.
Counsel to a municipality in negotiating a major amendment to a wastewater treatment facility twenty-five year lease.
Borrower’s Counsel in connection with loan of bond proceeds to a public hospital.
