Experience
Brent Jones’ transactional practice encompasses a broad range of areas, including federal and state securities law, corporate finance, and mergers and acquisitions. Mr. Jones has substantial experience counseling lenders, investors and companies, including start-up enterprises, in connection with debt and equity financings. Mr. Jones advises companies concerning compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934, including preparation and review of private placement memorandums, registration statements, annual and quarterly reports (Forms 10-K and 10-Q), current reports (8-K), proxy statements, press releases, and ownership reports (Forms 3, 4, and 5 and Schedule 13-D). In addition, Mr. Jones has acted as general corporate counsel for numerous Florida-based public and private companies, advising management concerning corporate governance, regulatory issues, and business related transactions. His experience includes negotiating and drafting stock, asset and note purchase agreements, merger agreements, franchise agreements, distribution agreements, employment contracts, credit agreements, letter of credit agreements, forbearance agreements, registration rights agreements, stockholders agreements, options, and warrants.
