Experience:

J. Bradley Keck concentrates his practice on securitization and other structured finance. He represents multinational banks, finance companies, issuers, borrowers, underwriters and sponsors in a wide variety of transactions, including structuring and maintaining domestic and cross-border commercial paper funded securitization vehicles. He also represents them in financing trade receivables; credit card and floorplan receivables; IP, franchise and "whole-business" assets; auto paper (retail and wholesale); leases; loans and various other asset classes in private placements, public offerings, and commercial paper conduits.

Bradley has extensive experience negotiating with rating agencies, credit enhancers, insurers, and liquidity providers; funding leveraged and synthetic leasing transactions involving UCC and non-UCC collateral; implementing other secured lending facilities; arranging whole-loan sales; working with electronic contracting and control of electronic chattel paper; arranging currency and interest rate hedges; and handling syndication of liquidity and credit exposure.

Notable Engagements:

Represented BTMU Capital Corporation as investor in a master whole business securitization program for NexCen Brands, Inc., which facilitates quick financing of new whole business acquisitions by NexCen using primarily the global IP and franchise assets of the acquired companies as collateral.

Represented Bank of America auto finance group's purchase and funding of up to $55 billion of whole auto loans originated by General Motors Acceptance Corporation (GMAC) over a five-year term.

Represented RouteOne (sponsored by DaimlerChrysler, Ford, GMAC and Toyota) in developing its eContracting solution and perfection of electronic chattel paper under UCC Section 9-105.
