Bernard S. Kramer is a partner in the law firm of McDermott Will & Emery LLP based in the Firm’s Chicago office. As a member of the Firm’s Corporate Department, he has represented private and public corporations and investment banks in a wide variety of securities, finance and general corporate matters.
Bernard’s experience includes the acquisition and sale of private and public companies, the initial and secondary public offerings of common and preferred stock, subordinated debt and limited partnership interests; the private placement of limited partnership interests, debt and other securities to institutions and wealthy individuals; the negotiation of commercial loan agreements and related financing documents; the formation of joint ventures; the preparation and implementation of a wide range of stock option plans; and general advice to senior management and boards of directors relating to disclosure issues, financing alternatives and Exchange Act compliance.

J.W Childs Equity Partners in its $440 million acquisition of The Nutrasweet Company;
APAC TeleServices, Inc., a telemarketing company, in the acquisition of ITI Marketing Services;
J.W. Childs Equity Partners, L.P. in the acquisition of Beltone Electronics, Inc., a hearing-aid manufacturer;
Preferred Payment Systems, Inc., a healthcare cost containment company , in its sale to Concentra Managed Care, Inc.;
Dreyer Medical Clinic in its sale to Advocate Healthcare Systems and the sale of its HMO subsidiary to BlueCross BlueShield;
Select Beverages, Inc. in the acquisition of A.J. Canfield Co.;
North Suburban Clinic in its sale to Caremark, Inc.;
Tom’s Foods Inc., a regional snack food company, in a public offering of senior secured notes; and
Canandaigua Wine Company, Inc. in the public offerings of common stock and senior subordinated notes.
