Benjamin Weber joined Sullivan & Cromwell in 1991 and became a partner in January 1999. He has experience in a broad range of commercial real estate, corporate finance, and private and public securities transactions, including acquisitions and dispositions, corporate and partnership restructurings, securitizations, financings, private equity investments and public and private offerings of debt and equity. Mr. Weber works primarily in the Firm's Commercial Real Estate Group and has assisted domestic and international clients in a variety of purchases and sales of commercial real estate assets, investments in joint ventures, private financings, corporate and partnership restructurings and public and private offerings of debt, equity and asset-backed securities. Selected Transactions Mr. Weber has represented: Lazard Alternative Investments in its purchase of a portfolio of assisted living facilities from Newton Senior Living; General Growth Properties in its purchase of The Rouse Company; Cadillac Fairview in its sales of regional mall shopping centers, including seven centers to The Mills Corporation and three centers to separate buyers; the Richard E. Jacobs Group in its contribution of interests in 21 shopping centers to CBL & Associates and then of interests in nine shopping centers to Westfield America; The Daiei, Inc. in its purchase and subsequent sale of the Ala Moana Shopping Center in Waikiki, Hawaii; Vornado Realty Trust in its purchases of various office, retail and other commercial properties and related businesses from sellers including The Mendik Company, the Kennedy family, Commonwealth Atlantic Properties, Inc., Charles E. Smith Limited Partnership and the Kaempfer companies; the issuer or the underwriters in a variety of securities offerings by public real estate companies, including the initial public offerings of Morgans Hotel Group, U-Store-It Trust, General Growth Properties, Inc. and Crown American Realty Trust and shelf offerings of debt and equity by MFA Mortgage Investments, Vornado Realty Trust and Forest City Enterprises; issuers or placement agents in numerous private placements of mortgage-backed securities; and various lenders and borrowers in connection with loans secured by shopping centers, office buildings, hotels, apartment buildings, theaters, warehouses, manufacturing facilities and other commercial properties throughout the United States. Mr. Weber has also provided transactional assistance and ongoing advice to clients including Vornado Realty Trust, Prudential, Archon Capital, Wachovia, Morgan Stanley and various Whitehall funds in connection with equity and mezzanine debt investments in commercial real estate projects.
