Benjamin D. Horowicz is a principal in the firm’s Baltimore office, where he concentrates his practice in the areas of commercial finance, corporate finance and general corporate law, with a focus on biotechnology, healthcare and life sciences companies. Mr. Horowicz regularly represents national and regional banks and financial institutions in commercial finance and real estate transactions. He is experienced in all aspects of asset-based loan transactions, including acquisition financing, cross-border transactions, revolving credit, term loan, capital expenditure and letter of credit facilities. In addition, Mr. Horowicz also regularly represents mezzanine and sub-debt lenders in a variety of investments. He has extensive experience in drafting and negotiating subordination agreements, structuring credits secured by foreign assets and documenting forbearance agreements. Mr. Horowicz also represents lenders in a variety of loan portfolio purchases from other banks and financial institutions. Mr. Horowicz also represents companies in connection with financing and general corporate matters. His clientele includes companies in the manufacturing, distribution, services, biotechnology, healthcare and life sciences sectors. As a member of the firm’s Life Sciences, Biotechnology and Pharmaceutical practice group, Mr. Horowicz regularly represents that group’s clients in a variety of transactions, including structuring and obtaining growth capital financing, acquisitions and general corporate matters. He is also routinely advises capital sources providing credit to, and investing in, biotechnology and life sciences companies. Some of his recent transactions include structuring bridge financing for a public company to support research and development of anti-cancer drug therapies, closing an acquisition credit facility to a Mid-Atlantic home healthcare group and representing an international biotechnology company in its leveraged acquisition of a serum and tissue bank.
