Professional Experience
Mr. Gemperle has represented a wide variety of clients in complex real estate and corporate transactions. He has significant experience in negotiating and closing commercial and retail leases, subleases, and assignments, acquisitions and dispositions of improved and unimproved real property, secured financing transactions, and in the formation and governance of corporations, partnerships, and limited liability companies.
Mr. Gemperle has advised lenders, borrowers, landlords, and tenants, as well as purchasers and sellers of real estate. He has assisted his various clients by structuring easement agreements, covenants, condemnation agreements, options, rights of first refusal, construction contracts, architectural agreements, license agreements, and consulting agreements.
Mr. Gemperleīs recent professional experience includes:
Representing the seller of land in San Diego County containing a commercial office building.
Representing various corporations in connection with private placement offerings of common stock.
Representing tenants in connection with the lease of commercial office space in Century City and Sherman Oaks.
Representing the purchaser of undeveloped land in a complex transaction involving a 1031 exchange, development contingencies, and a leaseback with purchase option.
