Mr. Caldwell is an associate in the Firm’s Business Department. Mr. Caldwell specializes in corporate and security matters, commercial transactions and private investment funds. He represents closely held and start-up companies in a variety of industries, including the financial services, healthcare and technology industries. Mr. Caldwell’s practice includes:
General Counseling. Counseling clients concerning entity formation, financing (both debt and equity), consulting and employment arrangements, protection of trade secrets and intellectual property, long term planning and dissolution.
Securities. Counseling clients concerning compliance with federal and state securities laws, with a focus on private placements of securities.
Commercial Transactions. Negotiating and documenting venture capital investments, debt financing, outsourcing arrangements, joint development and marketing arrangements and other complex business ventures.
Private Investment Funds. Counseling real estate investment partnerships, hedge funds and offshore funds concerning all aspects of their operations, including formation and structure, compliance with federal and state laws and dissolution.
Mr. Caldwell was previously associated with Troy & Gould Professional Corporation in Los Angeles, California.

Mr. Caldwell is a member of the Business Law Section of the American Bar Association.
EDUCATION
Mr. Caldwell received his B.A. from Purdue University and his J.D. from the UCLA School of Law. Mr. Caldwell served as editor-in-chief of the UCLA Pacific Basin Law Journal. |
