Ann assists clients with tax planning. She provides advice to businesses, nonprofit and tax-exempt organizations, and individuals, especially on transactional matters. She also defends taxpayers and tax-exempt organizations before federal and state taxing authorities and tax courts. Examples of Ann’s work include: Counseling clients on partnership and corporate (subchapters C and S) tax issues, including choice of entity Preparing tax opinions for transactions Advising owners of closely held businesses on matters related to operations, succession planning, and minority shareholders Assisting tax-exempt organizations with formation, governance, compensation, planning and application for tax-exempt status Representing clients seeking private-letter rulings Advising litigants on the taxation of settlements and damages awards Helping clients respond to IRS and state-agency inquiries and providing representation in income-tax audits and administrative appeals Ann’s experience includes structuring taxable and tax-free acquisitions, mergers, divestitures and spin-off transactions for public and private corporations; advising on business structure; organizing limited-liability companies, limited partnerships and joint ventures; and resolving issues involving income, estate and excise taxes; and structuring stock and asset acquisitions for buyers and sellers in a variety of industries. Ann has served on the Minnesota State Bar Association’s Tax Section Council, including as treasurer in 1999 and 2000. She is also a member of the Minnesota, Wisconsin, and American bar associations, as well as Minnesota Women Lawyers, and currently serves on Lindquist & Vennum’s Public Service Committee. She has also been an adjunct professor of corporate income taxation and of estates and trusts at William Mitchell College of Law. Before joining Lindquist & Vennum, Ann practiced with Baker & McKenzie and Winston & Strawn, both in Chicago.
