Andrew W. White represents emerging growth companies, both in a general counsel capacity and as lead attorney in all manner of transactions, including venture capital financings, acquisitions and dispositions, mergers, joint ventures and other strategic alliances, restructurings, corporate and LLC formations and entity conversions. Mr. White works primarily with technology companies, including medical information technology, medical devices, pharmaceutical and other life sciences companies, as well as internet, information technology, and high-tech manufacturing and distribution companies. Mr. White also represents non-profit organizations, including private foundations and other organizations exempt under I.R.C. sections 501(c)(3), 501(c)(4) and 501(c)(6). Mr. White has served as lead counsel on numerous transactions involving private placements and venture capital financings, stock and asset sales, mergers and acquisitions and corporate restructurings, including the following recent transactions: Represented health care informatics company that utilizes RFID technology to optimize asset utilization in a $6 million Series A financing Represented email security company in a Series A angel investment of up to $10 million Advised medical device company through Series A financings and in preparation for institutional investment Represented management in its $27 million buyout of engineered films manufacturing unit of world’s largest polymer services company Represented management in its multi-million dollar buyout of nationally-recognized technology services firm Represented UK public company in its sale of a U.S. subsidiary engaged in xeno-transplantation research and other areas of biomedical work Handled organization and federal tax-exempt application of international non-profit corporation formed to promote world-wide access to scholarly works Mr. White is a Director of the Venture Forum, the Richmond-based networking community for entrepreneurs and capital providers.
