Andrew Mason joined Sullivan & Cromwell in 1981 and has been a partner since 1989. He provides tax advice for a wide range of transactions, including real estate, project finance, leveraged lease, mergers, acquisitions, and international transactions. In addition to serving corporate clients, he regularly works with the partners in the Estates and Personal Group on matters involving the Firm s individual clients. He also represents clients in connection with adjustments proposed by the Internal Revenue Service. (2004) Wachovia in its US$25.5 billion acquisition of Golden West. (2006) Wachovia in its US$14.3 billion acquisition of SouthTrust. (2004) Sanford Bernstein in its purchase by Alliance Capital for US$3.5 billion. (2000) Bank of New York in its US$16.5 billion merger with Mellon. (Pending) Bank of New York in its acquisition of Ivy Asset Management for an undisclosed amount. (2000) Brundage Story & Rose in its sale to Bessemer Trust Company for an undisclosed amount. (2000) Cadillac Fairview in the sale of its interests in the shopping malls held by CFUS for US$532 million. (2003) Spieker Properties in its US$7.3 billion merger with Equity Office Properties. (2001) Whitehall, as a consortium member, and Goldman Sachs, as a mezzanine lender, as part of Songbird Acquisition Ltd., a consortium which acquired the Canary Wharf real estate development in the United Kingdom for US$9.03 billion. (2004) Mr. Mason has also provided legal guidance on: the acquisition and financing, utilizing a tax advantaged structure, of a shopping mall in the United Kingdom. the initial public offerings of Sunstone Hotel Investors and Strategic Hotel Investors. a variety of different real estate investments by the Whitehall Street Funds, including its investments in Rockefeller Center, a number of real estate investment trusts, Westin, and other properties throughout the United States, Canada, and Europe. the public and private securitization of non-performing loans by Kearney Street Real Estate Limited Partnership. In addition, Mr. Mason advised in the formation of various private equity and real estate funds, including funds organized by: Aetos Capital, LLC CIM Management Goldman Sachs (including all of the Whitehall Street Funds) Examples of Mr. Mason s joint venture and strategic alliance work include representing: Goldman Sachs in its joint ventures with DTE Energy and Constellation Energy Group. SBC Communications Inc. in its joint venture with BellSouth Corp. forming Cingular Wireless. SBC in its strategic alliance with Prodigy to join their consumer and small business Internet operations.
