Andrew F. Fowler is a senior associate in Milbank’s New York Global Securities department. Mr. Fowler represents investment banks and U.S. and international issuers in a wide variety of public and private capital markets transactions and general corporate matters.
Mr. Fowler has significant experience leading offerings of straight and convertible debt, initial public offerings, secondary equity offerings, pre-IPO financings, and other public and private equity and debt offerings. He also works with issuers and investment banks on exchange offers, infrastructure project financings and high yield debt as well as complex structured debt, including aircraft portfolio securitization vehicles.
Mr. Fowler has also handled finance and securities aspects of bankruptcies and in and out of court corporate restructurings. He routinely advises U.S. and international clients with respect to corporate governance, Sarbanes Oxley compliance, periodic reporting, issues under the Investment Company Act of 1940 and other securities law and corporate matters.
Mr. Fowler co-authored Bumps on the Road to an IPO: Structuring Provisions to Anticipate Issues in pre-IPO Convertible Bonds for the December 2007 issue of Wall Street Lawyer.
Mr. Fowler is a graduate of Cornell University Law School (J.D., 1998, cum laude) and Bard College (B.A., 1995 in History, with High Honors). He is admitted to practice in the State of New York. |
