Andrew Soussloff's domestic and international corporate finance experience includes representing clients from the U.S., Latin America, Canada and Europe in hundreds of securities offerings, acquisitions and other commercial transactions. He has worked with major corporations, financial institutions and sovereign governments in their capital-raising activities in the U.S. and international markets; and he regularly advises multinational companies on public disclosure, securities law and corporate governance issues. Mr. Soussloff's recent transactions include representing Royal Philips Electronics in the separation of its semiconductors business to form NXP Semiconductors and the sale of a controlling interest in NXP to a consortium of private equity investors for €3,451 million; NXP in the subsequent underwritten offering of €4,529 million of secured and senior notes, the largest high-yield debt financing by a European company to date; Royal Philips Electronics in the $1 billion IPO of NAVTEQ Corporation, in which Philips sold a 50% interest in NAVTEQ, and in the $1.24 billion follow-on public offering by Philips of its remaining 37% stake in NAVTEQ; The Home Depot, Inc. in an underwritten public offering of $5 billion of floating and fixed rate senior notes, one of the largest financings in the U.S. capital markets during 2006; Goldman Sachs and other underwriters in two follow-on secondary offerings during 2006 by Ripplewood and Freeman Spogli funds of common stock of Asbury Automotive Group, Inc.; ING Group and its Canadian property and casualty subsidiary, ING Canada Inc., in the Cdn. $1.04 billion initial public offering by ING Canada which included a Rule 144A U.S. offering; and the underwriters in the $1.69 billion carve-out IPO of Freescale Semiconductor, Inc. by Motorola and the concurrent $1.25 billion senior notes offering by Freescale. Mr. Soussloff has been the S&C team leader for SEC-registered global bond offerings and exchange offers by Argentina, Brazil, Panama and Peru and contributed to the development of "reverse Dutch auction" bond exchange offers for sovereign issuers. Mr. Soussloff was elected to the Legal Practice Division Council of the International Bar Association (2004-2006) and has held other leadership positions in the IBA including Chair, Capital Markets Forum (2005-2006) and Chair, Securities Law Committee (2000-2003). His public service activities also include serving on the Board of Trustees of The Brearley School in New York City and the Counsels' Council of Lincoln Center for the Performing Arts. |
