Andrew D. Kupinse is a principal in the Firm's Stamford Commercial Group. He represents financial institutions, corporations and other business entities in commercial transactions, corporate and commercial real estate matters, focusing his practice in the area of commercial finance. Andrew has broad experience representing both borrowers and lenders in financial transactions including accounts receivable financing, aircraft loans, real estate and project finance, bonds and indentures, term loans, revolving credit and letter of credit facilities, swap and other derivatives transactions, factoring arrangements, equipment finance and leasing, and loans secured by fine art. Andrew also advises on work-outs and complex financial restructurings and creditors’ rights laws. He also provides representation in preferred equity, mezzanine and subordinated debt arrangements. Andrew provides general corporate representation to corporations and other business entities, including counseling with entity formation, corporate governance, contract negotiations, licensing agreements, shareholder agreements, and employment agreements. He also represents companies in mergers and acquisitions, asset purchase agreements and sales, joint ventures and partnerships and other business combinations and sales. In addition, Andrew has a strong background in commercial real estate and frequently represents companies in purchases and sales, financings, and commercial leasing. Andrew received his B.A. from Colgate University in 1992, and his J.D. from Fordham University School of Law in 1998. |
