Andrew Gregory represents manufacturing, services, distribution, energy and technology companies in financings, mergers, acquisitions and divestitures. He has substantial experience in representing clients and boards of directors in corporate governance and fiduciary duties matters such as initiating and responding to proxy fights and hostile takeover proposals. Mr. Gregory also represents public and private clients in securities offerings, venture financings, and general antitrust, corporate and securities law matters. His experience extends to counseling and representing investment bankers and financial advisors in their financing and merger and acquisition engagements. Mr. Gregory also has broad experience in representing clients purchasing, investing in and divesting international companies and assets. He has a well developed practice of representing franchisors and franchisees in their franchise law, regulatory compliance and transactional matters.
