Alex W. Zabrosky concentrates his practice in corporate and international law. Although his clients include manufacturers, e-commerce companies, trade associations, publishing companies and other industrial and specialty firms, he has developed a niche in advising professional firms, particularly management consultancies. He leads the firm’s consultancy law practice and has more than 20 years’ experience counseling U.S. and international management consulting firms in all aspects of their business.
Alex has been general counsel to several multinational consultancies and has advised on client operations in the United States, Canada, Mexico, Brazil, South Africa, Germany, France, Italy, United Kingdom, Benelux, Sweden, Finland, Denmark, Taiwan, Thailand, Malaysia, Singapore, Hong Kong, Indonesia, Japan, Australia and New Zealand. His clients include individuals and companies engaged in general consultancy as well as companies involved in strategic planning, supply chain management, systems integration, change management, knowledge management, productivity enhancement, e-commerce, skills training and marketing and communications.
Major projects he has supervised have included the structuring and implementation of tax-efficient company reorganizations; a $200 million reverse-merger of a U.S.-based international consultancy into a London Stock Exchange company; a $90 million acquisition by tender offer of a U.S.-based AMEX-listed consulting company; a $35 million acquisition of a Swedish-based multinational consulting company; a $48 million sale of a publishing company and numerous other mergers and acquisitions; the coordination and execution of a worldwide dividend plan for a multinational consultancy; the implementation of domestic and worldwide intellectual property protection plans for consultancies; the implementation of comprehensive client, vendor, independent contractor and employee agreement programs; and franchising, joint venture and strategic alliance agreements.
Alex has written articles of interest to the consulting profession that have appeared in Consultants News, The Journal of Management Consulting and Management Consulting Times. He has been quoted in Business Week, Consultancy magazine, Global IT Consulting Report, The Rodenhauser Report, and Sm@rt Partners magazine. He has spoken frequently before professional consulting organizations including the Institute of Management Consultants, the Association of Management Consulting Firms, the Society of Risk Management Consultants and the Association of Materials Handling Consultants.
