Alan is the Chairman of our Corporate and Securities Department. Alan represents clients ranging from start-up to publicly traded companies, closely held businesses, venture capitalists, investors and lenders. While many of Alan’s corporate clients are located in the New York metropolitan area, Alan also represents a number of national and international businesses. Alan’s experience is broad based and includes sophisticated mergers and acquisitions, lending including asset based and receivables financing, venture capital investment and finance, SEC compliance, private placements and public offerings, technology licensing and transfer agreements, negotiation and drafting partnership, shareholder and operating agreements and day-to-day corporate counseling.
Alan’s clients include a leading U.S. wholesale distributor of non-electric surgical and dental instruments, prominent venture capital firms with substantial investments in local and national businesses, publicly traded companies with interests in the U.S. and abroad, an internet authentication company with worldwide offices and a well-known provider of laboratory clinical trial services for pharmaceutical companies, as well as individuals and other business entities.
Alan takes a serious interest in the business and financial underpinnings of his clients and recognizes that business and legal issues affecting a client are intertwined. In analyzing legal issues confronting a client, Alan draws on his experience with major New York law firms, as well as the degrees in Accounting and Finance he earned from the Wharton School of Finance, University of Pennsylvania in 1983. Alan earned his law degree from Boston University Law School in 1986, where he was Editor of the Law Review. |
