Adrienne represents non-profit and health care related organizations in a broad range of business and operational matters, with an emphasis on association law, corporate law, financing, real estate law, and internet/e-commerce transactions.
Adrienne's experience includes the following:
Association and Exempt Organization Law Experience: Adrienne provides counseling in legal areas of importance to nonprofit tax exempt organizations (primarily § 501(c)(3) and § 501(c)(6) organizations), including foundations and trade associations and their for-profit subsidiaries. Many of these legal issues are not necessarily unique to such organizations, but are often influenced by their characteristics, culture and tax status. In addition to the legal practice areas discussed below, Adrienne has advised such clients regarding (i) membership issues; (ii) credentialing and certification; (iii) affiliate relationships; (iv) protection and licensing of mailing lists; (v) revenue diversification strategies; (vi) the production of educational programs; (vii) sponsorship and other fundraising activities; (viii) ethics policies; (ix) endowment fund management and the Uniform Management of Institutional Funds Act; (x) volunteer matters; and (xi) charitable contributions and other issues relating to charitable foundations.
Commercial Law Experience: Adrienne has broad experience in negotiating complex contractual arrangements. She serves in an outside general counsel role to clients, regularly counseling them on a variety of business transactions, including the negotiation and drafting of commercial contracts of all kinds, as well as the termination of contractual relationships. Such contracts include (i) license agreements for e-commerce transactions, such as co-branding and web sales; (ii) database, trademark and other licensing agreements; (iii) hotel, convention center, facility, sponsorship, exhibitor, and other conference and event-related contracts; (iv) management agreements; (v) joint venture agreements; (vi) advertising agreements and (vii) contest and sweepstakes rules and agreements.
Corporate Law Experience: Adrienne has extensive experience with the creation and representation of profit and nonprofit corporations (including tax-exempt organizations), professional corporations for the practice of medicine, limited liability companies and other types of business entities. Her corporate experience has included mergers and acquisitions, asset and stock purchases and sales, private securities transactions, joint ventures, establishing and maintaining for-profit subsidiaries, conflict of interest policies, and corporate governance. Adrienne also advises boards of directors and managers of various entities.
Commercial Real Estate Experience: Adrienne represents clients in all aspects of commercial real estate transactions, including negotiation, drafting of contracts, leases, purchase and sale agreements, and other documents.
Commercial Financing Experience Adrienne represents clients in commercial financing transactions, including loans secured by real property. Her practice includes documentation of such transactions, as well as working with title companies, real estate brokers, lenders, and other real estate professionals.
Adrienne contributes articles on legal topics on a regular basis to the Executive Memo, a publication of the Colorado Society of Association Executives.
